Terms of Service

These Terms of Service govern access to and use of DevAssistant, an AI website builder SaaS operated from Ontario, Canada.

Acceptance of These Terms

These Terms of Service are a binding agreement between you and DevAssistant, the provider of the DevAssistant AI website builder platform, operated from Ontario, Canada. By accessing or using DevAssistant, creating an account, joining a workspace, purchasing a subscription, publishing a site, connecting an integration, submitting content, or otherwise using any feature of the service, you agree to be bound by these Terms and by all policies, product notices, and supplemental terms that are presented to you or incorporated by reference.

If you use DevAssistant on behalf of a company, organization, client, agency, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, the words you and your refer to both you individually and the entity you represent. If you do not have that authority, or if you do not agree with these Terms, you must not access or use DevAssistant.

DevAssistant is intended for users who can form legally binding contracts. You may not use the service if you are barred from doing so under applicable law, if your account has been suspended or terminated for cause, or if you are attempting to evade a prior restriction. Your continued use of the service after changes become effective constitutes acceptance of the updated Terms.

The DevAssistant Service

DevAssistant provides software tools that help users create, edit, manage, publish, and operate websites and related digital experiences with the assistance of artificial intelligence. The service may include project workspaces, visual editing tools, code generation, design generation, content drafting, templates, hosting workflows, domain and DNS configuration features, form handling, client portals, analytics, collaboration features, integrations, and other related functionality.

The service is a platform tool, not a professional adviser, law firm, accountant, security consultant, accessibility auditor, marketing agency, or managed operations provider. Outputs produced through DevAssistant may help accelerate work, but you remain responsible for reviewing, testing, validating, approving, and lawfully using any website, code, text, design, automation, configuration, or other material created through or with the service.

DevAssistant may modify, enhance, suspend, discontinue, rename, repackage, or limit features from time to time. We may release beta, experimental, preview, or early access features that are not complete, may change without notice, may contain errors, and may be subject to additional restrictions. You use such features at your own risk and should not rely on them for critical production workflows unless we expressly state otherwise in writing.

Support, Guidance, and Professional Services

DevAssistant may provide documentation, support responses, onboarding help, implementation guidance, troubleshooting, migration assistance, custom configuration, or other professional services in connection with the platform. Unless a separate written agreement expressly states otherwise, those services are provided as product assistance only and do not create service levels, managed services obligations, fiduciary duties, compliance guarantees, acceptance criteria, maintenance commitments, or warranties about your websites, outputs, integrations, business results, or legal obligations.

Support availability, channels, response times, and scope may vary by plan, workload, region, language, issue type, and operational constraints. We may decline or limit support for unsupported configurations, third-party services, custom code, unlawful or abusive use, disputed ownership, missing authorization, excessive requests, or matters outside the scope of DevAssistant. You remain responsible for making final decisions, preserving independent records, testing changes, and obtaining qualified professional advice where appropriate.

Any statement, example, recommendation, code suggestion, configuration change, or troubleshooting step provided by DevAssistant is offered for your evaluation and must be reviewed before use in production. Unless expressly assigned in a signed written agreement, DevAssistant retains ownership of its pre-existing tools, know-how, templates, processes, and reusable materials, and providing support or professional services does not transfer ownership of the platform or create custom work-for-hire obligations.

Accounts and Credentials

To use many parts of DevAssistant, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials, authentication methods, recovery codes, API keys, tokens, and any credentials connected to third-party services. Any activity that occurs through your account or workspace is your responsibility unless caused directly by DevAssistant's breach of these Terms.

You must promptly update account information when it changes and notify us at info@devassistant.io if you believe your account, workspace, credentials, domain, integration, or payment method has been compromised. DevAssistant has no support phone and does not accept security, support, billing, or legal instructions by telephone. We may rely on instructions received through authenticated accounts or verified email channels, and we are not responsible for losses caused by your failure to secure or monitor your account.

You may not share individual login credentials, create misleading account information, impersonate another person, use another user's account without authorization, or attempt to bypass access controls. We may require additional verification before granting account access, changing ownership, transferring a workspace, processing sensitive requests, or restoring access where ownership or authority is unclear.

Authority, Clients, and Agency Use

If you use DevAssistant for a client, employer, customer, or other third party, you are responsible for obtaining all permissions, approvals, licenses, consents, and instructions needed to use their materials, publish their sites, connect their domains, process their data, and bind them to applicable obligations. DevAssistant is entitled to treat the account owner and authorized workspace administrators as having authority to act for the workspace and related projects.

Agencies, freelancers, consultants, contractors, and other service providers remain solely responsible for their relationships with their own clients. DevAssistant is not a party to your client contracts, statements of work, invoices, deliverables, warranties, service levels, maintenance commitments, or disputes. You must not represent that DevAssistant guarantees your work, endorses your services, or is responsible for your obligations to your clients.

You are responsible for ensuring that any person you invite to a workspace understands and complies with these Terms. If a collaborator, employee, contractor, client, or invited user takes an action in your workspace, uploads content, changes a site, connects a service, publishes a project, incurs fees, or causes harm, you are responsible for that action to the fullest extent permitted by law.

Workspaces, Projects, and Collaboration

DevAssistant may organize work through accounts, teams, workspaces, projects, sites, environments, roles, permissions, and similar collaboration structures. Workspace owners and administrators are responsible for configuring access appropriately, removing users who no longer need access, reviewing permissions, monitoring publication rights, and ensuring that sensitive projects are not exposed to unauthorized collaborators.

Permissions and collaboration features are provided to help you manage access, but they do not eliminate your responsibility to use reasonable operational controls. You should assume that users with editing, administrative, publication, billing, integration, domain, or credential access may materially affect your projects. DevAssistant is not responsible for harm caused by permissions you grant, fail to revoke, or configure incorrectly.

Workspace ownership, project transfer, deletion, restoration, export, or administrative changes may require verification and may not always be available. We may decline or delay a transfer or access request where we cannot reasonably confirm authority, where there is a dispute, where doing so may violate law or contract, or where the request creates risk to another user, end user, workspace, or third party.

Customer Content and Your Responsibilities

Customer Content means content, data, prompts, instructions, text, images, graphics, logos, trademarks, code, files, designs, forms, submissions, databases, configurations, domains, credentials, business information, personal information, and other materials that you or your users submit to, upload to, store in, process through, or generate in connection with DevAssistant. You retain ownership of your Customer Content as between you and DevAssistant, subject to the rights you grant in these Terms.

You grant DevAssistant a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, process, transmit, display, modify, adapt, and otherwise use Customer Content as necessary to provide, secure, support, improve, and operate the service, comply with law, enforce these Terms, prevent abuse, and perform actions you request. This license continues for as long as needed for those purposes, including for backups, logs, security records, legal obligations, and reasonable business continuity processes.

You are solely responsible for Customer Content and for ensuring that you have all rights needed to use it with DevAssistant. You must not upload or use content that infringes intellectual property rights, violates privacy or publicity rights, contains unlawful or harmful material, includes regulated data that you are not permitted to process through the service, or breaches duties owed to others. DevAssistant may remove or restrict Customer Content that we believe violates these Terms, applicable law, platform policies, or third-party rights.

You are responsible for maintaining your own copies and backups of Customer Content and websites to the extent appropriate for your business. DevAssistant may offer export, backup, version history, or restoration features, but we do not guarantee that any particular content, configuration, prompt, output, version, log, or site state can be recovered unless an applicable paid plan expressly states otherwise in writing.

AI Features and Outputs

DevAssistant uses artificial intelligence systems and related automation to assist with website creation, coding, design, content drafting, editing, analysis, configuration, and other tasks. AI-generated suggestions and outputs may be inaccurate, incomplete, unsafe, biased, outdated, noncompliant, duplicative, or unsuitable for your intended use. You are responsible for independently reviewing and validating all AI outputs before relying on, publishing, distributing, or commercializing them.

AI outputs are generated from a combination of your prompts, Customer Content, system instructions, model behavior, product context, third-party model services, and other inputs. Similar or identical outputs may be generated for other users, and DevAssistant does not guarantee that any AI output is unique, protectable, non-infringing, private by default, or free from third-party claims. You are responsible for obtaining legal, compliance, accessibility, security, and professional review when your use requires it.

You must not use AI features to create malware, phishing pages, deceptive interfaces, spam, unlawful surveillance, abusive content, deepfakes without proper rights and disclosures, illegal goods or services, discriminatory systems, or content intended to mislead, harm, exploit, or unlawfully profile individuals. We may apply automated or manual safeguards to prompts, outputs, accounts, and projects, and we may block, modify, throttle, log, review, or refuse requests that we believe present legal, safety, security, or abuse risks.

To the maximum extent permitted by law, DevAssistant disclaims responsibility for decisions you make based on AI outputs. You acknowledge that AI tools do not replace human judgment and that you remain the publisher, operator, controller, merchant, service provider, or responsible party for your websites, workflows, content, and business activities.

Published Sites and End Users

You are responsible for all websites, pages, assets, forms, portals, content, products, services, claims, offers, policies, notices, scripts, cookies, tracking technologies, and user experiences that you create, publish, host, connect, or manage through DevAssistant. DevAssistant may provide tools to help publish or operate a site, but you are the operator of your published sites unless we expressly state otherwise in a separate written agreement.

You must ensure that your published sites comply with all laws, regulations, platform rules, accessibility obligations, consumer protection requirements, advertising rules, intellectual property obligations, privacy laws, anti-spam laws, e-commerce rules, tax obligations, sector-specific requirements, and contractual duties that apply to your business and your end users. You are responsible for providing legally sufficient privacy policies, cookie notices, terms, refund policies, consent mechanisms, accessibility statements, contact information, and other disclosures where required.

Your relationship with visitors, customers, members, subscribers, applicants, clients, and other end users of your published sites is solely between you and those end users. DevAssistant is not responsible for your products, services, representations, payments, fulfillment, refunds, disputes, customer service, professional advice, compliance posture, or end-user harm unless caused directly by DevAssistant's own breach of these Terms.

Forms, Client Portals, and Submitted Data

DevAssistant may allow you to create forms, intake flows, lead capture experiences, appointment requests, file uploads, client portals, gated pages, member areas, dashboards, or similar features that collect or display information from or about end users. You are responsible for configuring these features lawfully, limiting the data you collect, providing required notices and consents, responding to end-user requests, and protecting any sensitive information you choose to process.

You must not use forms or portals to collect payment card data, government identification numbers, health information, financial account credentials, children's data, biometric data, highly sensitive personal information, or other regulated information unless your plan, configuration, legal basis, security measures, and written agreement with DevAssistant expressly permit that use. DevAssistant may restrict, delete, quarantine, or disable forms, submissions, uploads, or portals that create security, legal, privacy, or abuse concerns.

You are responsible for the accuracy, retention, deletion, export, and use of form submissions and portal data. DevAssistant does not guarantee that every submission will be delivered, stored, transmitted, or displayed without delay, loss, filtering, corruption, or unauthorized access. You should use appropriate confirmations, backups, monitoring, and independent records for critical communications, regulated workflows, contractual notices, applications, orders, or client instructions.

Domains, DNS, Hosting, and Publishing

DevAssistant may provide tools for connecting custom domains, configuring DNS records, generating preview URLs, publishing websites, managing redirects, enabling SSL or TLS, setting deployment options, and connecting hosting or infrastructure providers. You are responsible for owning, controlling, renewing, and lawfully using any domain you connect to the service, and for ensuring that DNS, registrar, hosting, and related account settings are accurate and authorized.

Domain and DNS changes can affect email delivery, website availability, security, search visibility, analytics, and other services. DevAssistant is not responsible for downtime, misrouting, lost email, certificate errors, propagation delays, registrar disputes, domain expiration, third-party hosting failures, incorrect records, unauthorized domain changes, or consequences of instructions you or your authorized users provide.

Publishing a site may make content publicly accessible and may cause search engines, archives, social platforms, caches, analytics tools, browser vendors, and other third parties to copy, index, display, store, or retain information. Unpublishing or deleting a site through DevAssistant may not remove copies from third-party systems. You are responsible for reviewing a site before publication and for ensuring that confidential, proprietary, personal, or restricted information is not published accidentally.

Third-Party Services and Integrations

DevAssistant may allow you to connect third-party services such as hosting providers, domain registrars, analytics tools, payment processors, customer relationship management systems, email services, storage services, authentication providers, code repositories, design tools, AI model providers, automation platforms, and other applications. Your use of third-party services is governed by their own terms, privacy policies, pricing, availability, permissions, and security practices.

When you connect an integration, you authorize DevAssistant to access, exchange, transmit, store, and process information as needed to provide the integration and perform actions you request. You are responsible for reviewing scopes, permissions, data flows, account authority, and third-party settings before connecting or using any integration. DevAssistant is not responsible for third-party acts, omissions, downtime, data loss, pricing changes, API changes, rate limits, security incidents, or misuse of credentials outside our control.

We may add, change, suspend, or discontinue integrations at any time, including where a third-party service changes its API, terms, pricing, security posture, or availability. If an integration stops working, your sole remedy is to stop using that integration unless a separate written agreement provides otherwise. You remain responsible for disconnecting integrations and rotating credentials when access is no longer needed.

Templates, Components, and Marketplace Materials

DevAssistant may provide templates, themes, sections, components, snippets, images, fonts, icons, layouts, sample copy, demo data, plugins, extensions, marketplace listings, or other reusable materials. Some materials may be created by DevAssistant, some may be generated by AI, and some may be provided by third parties or other users. Your rights to use these materials may depend on your plan, the source of the material, licensing notices, marketplace terms, and applicable law.

Unless expressly stated otherwise, templates and marketplace materials are provided for use with DevAssistant and may not be resold, redistributed, sublicensed, extracted, made available as a competing product, or used outside the scope of the license provided. You are responsible for replacing demo content, confirming that sample copy is accurate for your business, reviewing accessibility and performance, and ensuring that any images, fonts, trademarks, or third-party assets are properly licensed for your intended use.

DevAssistant may remove, modify, restrict, or discontinue templates or marketplace materials at any time, including where we believe they may infringe rights, violate law, create security risk, produce poor user outcomes, or breach platform standards. We do not guarantee that any template, component, or marketplace material will remain available, error-free, compliant, exclusive, or suitable for a particular industry, jurisdiction, or use case.

Billing, Subscriptions, Quotas, and Taxes

Paid plans, add-ons, usage-based features, overages, credits, storage, bandwidth, AI generation limits, seats, domains, publishing capacity, marketplace purchases, and other paid services are billed according to the pricing, plan terms, invoices, checkout pages, order forms, or product notices presented to you. By providing a payment method or purchasing a paid service, you authorize DevAssistant and its payment processors to charge applicable fees, recurring subscription amounts, usage charges, taxes, and other amounts due.

Fees are non-refundable except where required by law or expressly stated in writing by DevAssistant. Subscription charges may renew automatically until cancelled in accordance with the applicable cancellation process. Downgrading, cancelling, failing to pay, exceeding quotas, reversing charges, or removing a payment method may result in loss of features, reduced capacity, disabled publishing, restricted access, deletion of content, or termination of paid services.

You are responsible for all taxes, duties, levies, withholding, and governmental charges associated with your use of DevAssistant, other than taxes based on our net income. Prices may change, and we may introduce or modify quotas, fair use limits, rate limits, storage limits, generation limits, seat limits, bandwidth limits, domain limits, or other restrictions. We may measure usage using our records, and those records are controlling unless you demonstrate a clear billing error.

Credits, trials, discounts, promotional offers, and beta access are discretionary and may be modified, revoked, or allowed to expire according to their terms. They have no cash value, may not be transferred, and may not be used to avoid payment through account splitting, workspace duplication, abusive generation, resale, or other conduct designed to circumvent pricing or limits.

Acceptable Use and Platform Protection

You must use DevAssistant lawfully, responsibly, and in a manner that does not harm the service, other users, end users, third parties, or DevAssistant. You must not use the service to create, host, publish, transmit, automate, or facilitate unlawful, infringing, deceptive, abusive, exploitative, hateful, violent, sexually exploitative, harassing, defamatory, fraudulent, malicious, or otherwise harmful content or activity.

You must not probe, scan, attack, overload, scrape, crawl, reverse engineer, bypass, disrupt, interfere with, or attempt to gain unauthorized access to DevAssistant, its systems, models, infrastructure, users, workspaces, published sites, or connected services. You must not circumvent rate limits, quotas, filters, safety systems, billing controls, access controls, usage restrictions, model restrictions, security protections, or technical measures. You must not introduce malware, credential theft, spam, phishing, bot activity, denial-of-service traffic, or deceptive interfaces.

DevAssistant may monitor usage, investigate suspected abuse, apply automated and manual controls, remove content, throttle requests, block prompts, disable features, restrict publication, suspend accounts, preserve evidence, and cooperate with service providers, rights holders, law enforcement, regulators, and affected parties where we believe doing so is necessary to protect the platform, comply with law, enforce these Terms, or prevent harm.

Intellectual Property Complaints and Takedowns

If you believe that Customer Content, a published site, template, marketplace material, AI output, or other material available through DevAssistant infringes your intellectual property rights, you may contact info@devassistant.io with enough information for us to identify the material, understand the rights claimed, contact you, and evaluate the request. You represent that any complaint, response, counter-notice, or supporting information you provide is accurate, authorized, and submitted in good faith.

DevAssistant may remove, disable, restrict, preserve, or refuse to restore material that we believe may infringe rights, violate law, breach these Terms, expose DevAssistant or others to liability, or create operational risk. We may forward notices, counter-notices, account information, and related communications to affected users, rights holders, service providers, hosting providers, registrars, payment processors, law enforcement, regulators, or other parties where appropriate.

DevAssistant is not required to adjudicate private intellectual property disputes, ownership disputes, agency disputes, or client disputes. We may suspend accounts, disable publication, restrict domains, or terminate repeat infringers or users who submit abusive or materially false notices. Restoration of disputed material is discretionary unless required by applicable law or a binding order from a court or other authority with jurisdiction.

Export Controls, Sanctions, and Restricted Destinations

You must comply with all trade controls, export controls, sanctions, anti-boycott rules, anti-corruption laws, and restricted-party requirements that apply to your use of DevAssistant, including Canadian laws and any other laws applicable to you, your users, your clients, your end users, your Customer Content, your published sites, and any third-party services you connect. You represent that you are not located in, organized under the laws of, ordinarily resident in, or acting on behalf of any jurisdiction, person, entity, or organization that is subject to sanctions or other restrictions that would prohibit DevAssistant from providing the service.

You must not use DevAssistant to develop, publish, export, re-export, transfer, or facilitate goods, software, technology, services, content, or activity for prohibited destinations, restricted parties, unlawful military or surveillance end uses, weapons development, nuclear, chemical, or biological applications, human rights abuses, sanctions evasion, corruption, or other restricted end uses. You are responsible for obtaining any licenses, approvals, or authorizations required for your use of the service and any websites or outputs you create.

DevAssistant may screen accounts, payments, domains, projects, traffic, and usage for sanctions, export-control, fraud, abuse, and compliance risks. We may block transactions, restrict access, suspend accounts, remove content, disable publication, withhold services, or terminate the relationship if we believe continued service may violate law, create regulatory risk, or expose DevAssistant, users, service providers, or third parties to liability.

DevAssistant Rights and Feedback

DevAssistant and its licensors retain all rights, title, and interest in and to the service, software, platform, models, systems, workflows, interfaces, templates, documentation, trademarks, logos, design elements, know-how, data structures, infrastructure, and other technology, excluding Customer Content. These Terms do not grant you any ownership interest in DevAssistant or any right to use our brand, marks, or materials except as expressly permitted.

Subject to your compliance with these Terms, DevAssistant grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the service for your internal business or personal website-building purposes during the term of your account or subscription. You may not copy, modify, distribute, sell, lease, host, white-label, benchmark, publicly evaluate, or create derivative services from DevAssistant except as expressly allowed by us in writing.

If you provide ideas, suggestions, requests, comments, bug reports, feature proposals, or other feedback, you grant DevAssistant a perpetual, irrevocable, worldwide, royalty-free license to use, modify, commercialize, and incorporate that feedback without restriction or compensation. We are not required to treat feedback as confidential, and providing feedback does not create any obligation for us to build, maintain, or deliver any feature.

Privacy, Data Protection, and Security

DevAssistant's handling of personal information is described in our privacy notices and any applicable data processing terms. You are responsible for determining whether you are a controller, processor, service provider, business, custodian, trustee, or other regulated party in relation to personal information processed through your sites, forms, portals, integrations, and workspaces. You must provide required notices, obtain required consents, honour applicable rights, configure retention appropriately, and avoid collecting data that you are not authorized to process.

We use reasonable administrative, technical, and organizational measures designed to protect the service, but no system is perfectly secure. You are responsible for using strong authentication, protecting credentials, configuring permissions, limiting sensitive data, reviewing integrations, maintaining endpoint security, training your users, and promptly reporting suspected incidents to info@devassistant.io. DevAssistant has no support phone and does not accept incident reports by telephone.

You acknowledge that Customer Content and usage data may be processed in Canada, the United States, or other jurisdictions where DevAssistant, its affiliates, infrastructure providers, AI providers, payment processors, support providers, or other subprocessors operate. You are responsible for ensuring that your use of the service and any international transfers are lawful for your users, clients, industry, and jurisdiction.

DevAssistant may access, preserve, disclose, or restrict information where we reasonably believe it is necessary to provide the service, support users, comply with law, respond to legal process, enforce these Terms, protect rights and safety, investigate abuse, prevent fraud, secure the platform, or address technical issues. We may maintain logs, backups, audit records, security records, and billing records for legitimate business, legal, compliance, and security purposes.

Suspension, Termination, and Service Changes

You may stop using DevAssistant at any time, and you may cancel paid services through the account, billing, or written cancellation process we make available. Cancellation does not relieve you of amounts already incurred, and access may continue or end according to the applicable plan terms. You are responsible for exporting Customer Content, disconnecting domains, removing integrations, rotating credentials, and making transition arrangements before cancellation or termination.

DevAssistant may suspend, restrict, disable, or terminate your account, workspace, projects, sites, domains, forms, portals, integrations, publications, or access to any feature if we believe you have violated these Terms, failed to pay amounts due, created legal or security risk, infringed rights, abused the service, exceeded limits, caused harm, or used the platform in a way that may expose DevAssistant, users, end users, infrastructure providers, or third parties to liability or operational risk.

We may also suspend or modify the service to perform maintenance, respond to emergencies, comply with law, address security incidents, prevent abuse, preserve platform integrity, or manage infrastructure. To the maximum extent permitted by law, DevAssistant is not liable for any loss caused by suspension, termination, feature limitation, downtime, deletion, preservation, or restriction undertaken in good faith under these Terms.

Upon termination, your right to use the service ends immediately, but provisions that by their nature should survive will survive, including provisions concerning ownership, Customer Content licenses needed for wind-down and compliance, billing, acceptable use, disclaimers, limitation of liability, indemnity, governing law, notices, and dispute-related obligations.

Disclaimers and No Warranties

DevAssistant is provided on an as is and as available basis to the maximum extent permitted by law. We disclaim all warranties, conditions, representations, and guarantees, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, availability, reliability, security, compatibility, performance, and any warranties arising from course of dealing, usage, or trade practice.

We do not warrant that the service, AI outputs, templates, generated code, published sites, hosting workflows, domains, DNS features, integrations, forms, portals, analytics, or other features will be uninterrupted, error-free, secure, compliant, accessible, current, complete, or suitable for your business. We do not warrant that defects will be corrected, that data will not be lost, that outputs will be unique or non-infringing, or that the service will meet legal, regulatory, industry, professional, accessibility, search engine, advertising, marketplace, or platform requirements.

You are responsible for testing websites and outputs before and after publication, maintaining backups, implementing security controls, reviewing legal and compliance obligations, and obtaining professional advice where appropriate. Any examples, templates, suggestions, documentation, support responses, or AI-generated explanations are provided for general product assistance and do not create warranties or professional obligations.

Limitation of Liability

To the maximum extent permitted by law, DevAssistant and its affiliates, directors, officers, employees, contractors, licensors, suppliers, service providers, and agents will not be liable for indirect, incidental, special, consequential, exemplary, aggravated, punitive, or enhanced damages, or for lost profits, lost revenue, lost business, lost goodwill, lost opportunities, business interruption, replacement services, loss of data, loss of content, reputational harm, end-user claims, or security incidents, even if advised of the possibility of such damages.

To the maximum extent permitted by law, DevAssistant's total aggregate liability for all claims arising out of or relating to these Terms, the service, Customer Content, AI outputs, published sites, subscriptions, integrations, or any related matter will not exceed the greater of the amount you paid to DevAssistant for the service giving rise to the claim during the three months before the event giving rise to liability or one hundred Canadian dollars. This limitation applies regardless of the theory of liability, whether in contract, tort, negligence, strict liability, statute, equity, or otherwise.

The limitations in this section apply to the fullest extent permitted by law and form an essential basis of the bargain between you and DevAssistant. If applicable law does not allow a limitation or exclusion for a particular claim, the limitation will apply to the maximum extent permitted, and all other limitations will remain effective. Multiple claims will not expand the liability cap.

Indemnity, Ontario Law, and Notices

You will defend, indemnify, and hold harmless DevAssistant and its affiliates, directors, officers, employees, contractors, licensors, suppliers, service providers, and agents from and against all claims, demands, proceedings, investigations, losses, liabilities, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or relating to your Customer Content, AI outputs, published sites, end users, products, services, forms, portals, domains, integrations, instructions, breach of these Terms, violation of law, infringement or misappropriation of rights, client disputes, payment disputes, or misuse of the service.

These Terms and any dispute, claim, or controversy arising out of or relating to DevAssistant are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict of laws principles. Subject to any mandatory law that provides otherwise, the courts located in Ontario, Canada will have exclusive jurisdiction over any dispute arising from or relating to these Terms or the service, and you consent to the personal jurisdiction and venue of those courts.

Notices to DevAssistant must be sent by email to info@devassistant.io unless a different notice method is expressly required by applicable law or a separate written agreement. DevAssistant has no support phone, and telephone calls, voicemail, text messages, social media messages, chat messages, or informal communications do not constitute legal notice. We may provide notices to you through the service, by email to the address associated with your account, by posting on our website, or by other reasonable means.

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and the invalid provision will be enforced to the maximum extent permitted by law or replaced with an enforceable provision that most closely reflects the original intent. DevAssistant's failure to enforce a provision is not a waiver. You may not assign these Terms without our prior written consent, and DevAssistant may assign them in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, or transfer of the service.
